Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Seller," "you," or "your") and Storehaus, Inc., a Delaware corporation ("Storehaus," "we," "us," or "our"). By accessing or using the Storehaus platform at storehaus.ai (the "Platform"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.
The Platform is an AI-powered e-commerce solution that enables sellers, including Korean businesses expanding into the United States market, to create, manage, and operate online storefronts through a chat-first AI workspace.
1. Definitions
"Account" means your registered Storehaus seller account.
"Buyer" means any end customer who purchases products through a Seller's storefront on the Platform.
"Content" means all text, images, product descriptions, storefront designs, and other materials uploaded, created, or generated through the Platform.
"AI-Generated Content" means any Content produced by the Platform's artificial intelligence features, including but not limited to product descriptions, marketing copy, storefront layouts, and customer service drafts.
"Merchant of Record" means the party responsible for processing a Buyer's payment and bearing the associated legal obligations for the transaction.
"Settlement" means the transfer of funds from processed transactions to a Seller's designated bank account.
"Subscription Plan" means the tier of service selected by the Seller (Free, Pro, or Enterprise).
2. Eligibility and Account Registration
2.1. You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your business entity.
2.2. You must provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3. You may not create multiple accounts for the same business entity without prior written consent from Storehaus. We reserve the right to suspend or terminate accounts that we reasonably believe are duplicative or fraudulent.
2.4. You represent and warrant that your use of the Platform will comply with all applicable laws, including but not limited to U.S. federal and state laws, Korean laws, export control regulations, and any laws governing cross-border commerce.
3. Platform Services
3.1. Storehaus provides an AI-powered e-commerce platform that includes storefront creation and hosting, product catalog management, order processing and fulfillment tools, AI-assisted content generation and store operations, payment processing integration, analytics and reporting, and customer communication tools.
3.2. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of material changes.
3.3. The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access or error-free operation.
4. Subscription Plans and Fees
4.1. Subscription Tiers. The Platform offers three subscription tiers: Free ($0/month), Pro ($39/month), and Enterprise (custom pricing). The features available under each tier are described on our pricing page and may change from time to time.
4.2. Transaction Fees. In addition to subscription fees, Storehaus charges a transaction fee ranging from 1% to 4% on each completed sale, depending on your Subscription Plan. The applicable rate for your plan is displayed in your account dashboard.
4.3. Payment Processing Fees. Stripe payment processing fees are separate from Storehaus fees and are charged directly by Stripe in accordance with Stripe's terms. Storehaus has no control over and assumes no liability for Stripe's fees.
4.4. Billing Cycle. Subscription fees are billed monthly in advance. Transaction fees are deducted from settlements. All fees are stated in U.S. dollars and are non-refundable except as expressly provided in these Terms.
4.5. Price Changes. We may change our fees at any time upon 30 days' prior written notice. Continued use of the Platform after a price change takes effect constitutes your acceptance of the new pricing.
4.6. Taxes. You are responsible for all taxes associated with your use of the Platform, except for taxes on Storehaus's income.
5. Payment Processing and Merchant of Record
5.1. Seller as Merchant of Record. If you connect your own Stripe account to the Platform, you are the Merchant of Record for all transactions processed through your storefront. You bear full responsibility for payment processing, refunds, chargebacks, tax collection and remittance, consumer protection compliance, and all other obligations associated with being the Merchant of Record. Storehaus acts solely as a technology provider in this configuration.
5.2. Storehaus as Merchant of Record. If you elect to use Storehaus's payment processing (without connecting your own Stripe account), Storehaus acts as the Merchant of Record. In this configuration, Storehaus processes payments on your behalf, remits your portion of sales proceeds via settlement, handles payment disputes in consultation with you, and collects and remits applicable sales tax where required. Even when Storehaus is the Merchant of Record, you remain responsible for the accuracy of product information, fulfillment of orders, and compliance with applicable product safety and labeling laws.
5.3. Chargebacks. A chargeback fee of $15.00 USD per occurrence will be assessed against the Seller for each chargeback or payment dispute, regardless of the outcome. This fee is in addition to any fees imposed by the payment processor. You agree to cooperate fully with any chargeback investigation and to provide requested documentation promptly.
5.4. Settlement Terms. Funds from completed transactions are held for a minimum of seven (7) business days following confirmed fulfillment before being eligible for settlement. Storehaus processes settlements on a regular schedule, subject to the hold period and any applicable reserves.
5.5. Reserves. Storehaus reserves the right, at its sole discretion, to hold a portion of your settlement funds as a reserve against potential chargebacks, refunds, or other liabilities. We will notify you if a reserve is applied and provide the basis for the reserve. Reserves may be adjusted based on your transaction history, chargeback rate, and other risk factors.
5.6. Refunds. You are responsible for establishing and honoring a refund policy that complies with applicable law. When Storehaus is the Merchant of Record, refunds are processed through the Platform and deducted from future settlements.
6. AI-Generated Content
6.1. Ownership. You own all AI-Generated Content created through your use of the Platform, subject to the license granted to Storehaus in Section 8.
6.2. No Warranty on AI Content. Storehaus makes no representations or warranties of any kind regarding AI-Generated Content, including but not limited to its accuracy, completeness, originality, non-infringement, fitness for a particular purpose, or compliance with applicable laws or regulations. AI-Generated Content may contain errors, inaccuracies, or content that infringes on third-party rights.
6.3. Seller Responsibility. You are solely responsible for reviewing, editing, and approving all AI-Generated Content before publishing or using it in any manner. You assume all liability for AI-Generated Content that you publish, distribute, or otherwise make available through your storefront or any other channel.
6.4. No Legal or Professional Advice. AI-Generated Content does not constitute legal, tax, financial, or other professional advice. You should consult qualified professionals for such matters.
7. Cross-Border Commerce
7.1. Compliance Obligations. If you are a Korean seller (or a seller from any non-U.S. jurisdiction) selling to U.S. buyers, you are solely responsible for compliance with all applicable export and import laws and regulations, customs requirements and documentation, product safety standards and labeling requirements in the destination market, tax obligations in both your home jurisdiction and the United States, and the U.S. de minimis threshold of $800 for customs duties.
7.2. No Customs or Tax Advisory. Storehaus does not provide customs brokerage, tax advisory, or legal compliance services. The Platform may provide informational tools or references, but these do not constitute professional advice.
7.3. Prohibited and Restricted Goods. You may not use the Platform to sell products that are prohibited or restricted under U.S. or Korean law, or under the laws of any jurisdiction to or from which products are shipped. Storehaus reserves the right to remove listings or suspend accounts that sell prohibited or restricted goods.
8. Intellectual Property
8.1. Storehaus IP. The Platform, including its software, design, features, documentation, and all related intellectual property, is and remains the exclusive property of Storehaus. These Terms do not grant you any rights to Storehaus's intellectual property except the limited license to use the Platform as described herein.
8.2. Seller License to Storehaus. You grant Storehaus a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your Content solely for the purpose of operating and improving the Platform, including displaying your storefront to Buyers and training our systems to provide better service. This license survives termination solely to the extent necessary to fulfill outstanding obligations.
8.3. Seller IP. You retain all rights to Content that you upload to the Platform, subject to the license granted above. You represent and warrant that you have all necessary rights to such Content and that it does not infringe on any third party's intellectual property rights.
9. Prohibited Conduct
You agree not to: (a) use the Platform for any unlawful purpose or in violation of any applicable law; (b) sell counterfeit, stolen, or illegally obtained goods; (c) misrepresent the origin, quality, or characteristics of products; (d) manipulate reviews, ratings, or other feedback mechanisms; (e) interfere with or disrupt the Platform's infrastructure; (f) attempt to gain unauthorized access to any part of the Platform; (g) use automated tools to scrape, crawl, or extract data from the Platform without prior written consent; (h) sublicense, resell, or redistribute access to the Platform; or (i) use the Platform in any manner that could damage, disable, overburden, or impair the Platform.
10. Termination
10.1. By Seller. You may terminate your account at any time by contacting support@storehaus.ai or through your account settings. Termination does not relieve you of any obligation to pay accrued fees or fulfill pending orders.
10.2. By Storehaus. We may suspend or terminate your account at any time, with or without cause, upon notice to you. If we terminate your account without cause, we will provide a prorated refund of prepaid subscription fees. If we terminate your account for breach of these Terms, no refund will be issued.
10.3. Effect of Termination. Upon termination, your right to access the Platform ceases immediately. Storehaus will retain your data for 30 days following termination, after which it may be permanently deleted. Sections 5.3, 5.5, 6, 8.2, 11, 12, 13, 14, and 15 survive termination.
11. Limitation of Liability
11.1. Liability Cap. To the maximum extent permitted by law, Storehaus's total aggregate liability to you for all claims arising out of or related to these Terms or the Platform, whether in contract, tort, strict liability, or any other legal theory, shall not exceed the total subscription fees paid by you to Storehaus during the three (3) months immediately preceding the event giving rise to the claim.
11.2. Exclusion of Damages. In no event shall Storehaus be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, regardless of whether Storehaus was advised of the possibility of such damages.
11.3. Third-Party Services. Storehaus is not liable for any acts or omissions of third-party service providers, including payment processors, shipping carriers, AI model providers, or analytics services.
12. Indemnification
You agree to indemnify, defend, and hold harmless Storehaus and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your products, including product liability claims; (e) any Content you provide, including allegations of intellectual property infringement; (f) chargebacks or payment disputes related to your transactions; or (g) your cross-border commerce activities, including customs, tax, or import/export violations.
13. Dispute Resolution and Arbitration
13.1. Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
13.2. Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or at a location mutually agreed upon by the parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
13.3. Class Action Waiver. You agree that any arbitration or proceeding shall be conducted solely on an individual basis. You waive any right to participate in a class action, class arbitration, or consolidated arbitration. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
13.4. Exception. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
13.5. Notice. Before initiating arbitration, the complaining party must send a written notice of the dispute to the other party at its registered address (for Storehaus: support@storehaus.ai). The parties shall attempt to resolve the dispute informally within 30 days of receipt of such notice.
14. General Provisions
14.1. Entire Agreement. These Terms, together with the Privacy Policy and any applicable plan-specific terms, constitute the entire agreement between you and Storehaus regarding the Platform.
14.2. Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall continue in full force and effect.
14.3. Waiver. No failure or delay by Storehaus in exercising any right under these Terms shall constitute a waiver of that right.
14.4. Assignment. You may not assign or transfer these Terms or any rights hereunder without Storehaus's prior written consent. Storehaus may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
14.5. Force Majeure. Storehaus shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, labor disputes, or internet service disruptions.
14.6. Notices. All notices under these Terms shall be sent to support@storehaus.ai for Storehaus, and to the email address associated with your account for you.
14.7. Language. These Terms are drafted in English. In the event of a conflict between the English version and any translated version, the English version shall prevail.
